1. Acceptance of Terms

By accessing or using the Fairway Studios website at fairwaystudios.golf, creating an account, purchasing a membership, booking a simulator bay, attending an event, visiting our facility, or otherwise using any Fairway Studios products or services (collectively, the “Services”), you agree to be bound by these Terms & Conditions (“Terms”).

If you do not agree to these Terms, you should not access or use the Site or Services.

Fairway Studios reserves the right to modify these Terms at any time. Updated Terms may be posted on our website, and your continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.

2. About Fairway Studios

Fairway Studios (“Fairway Studios,” “Company,” “we,” “us,” or “our”) operates an indoor golf facility and related digital services for simulator reservations, memberships, events, purchases, account management, and community engagement.

Our Services may include third-party technology, booking systems, payment processors, golf simulator technology, access-control systems, and other service providers necessary to operate the facility.

3. Eligibility & Accounts

Certain Services require you to create an account. When creating or maintaining an account, you agree to:

• Provide accurate, current, and complete information.
• Maintain the confidentiality and security of your login credentials.
• Promptly notify Fairway Studios of suspected unauthorized access to your account.
• Accept responsibility for activity conducted through your account.
• Not permit unauthorized individuals to use your membership, credentials, or facility access privileges.

Fairway Studios may suspend, restrict, or terminate accounts that violate these Terms, membership rules, facility policies, or applicable law.

4. Memberships

Fairway Studios may offer monthly, annual, prepaid, promotional, trial, or other membership options.

By purchasing a membership, you agree to the pricing, benefits, access privileges, booking restrictions, guest allowances, and other conditions associated with the membership selected at the time of purchase.

Where applicable, you authorize recurring charges to your designated payment method until the membership is canceled in accordance with the applicable cancellation policy.

Members are responsible for:

• Applicable membership fees, initiation or activation fees, taxes, and other disclosed charges.
• Following applicable booking and cancellation policies.
• Complying with membership access restrictions.
• Following guest policies and facility rules.
• Being present when required for guests using privileges associated with their membership.
• Ensuring their guests comply with Fairway Studios rules and policies.

Membership pricing, features, availability, and benefits may change from time to time. Changes to existing memberships will be handled in accordance with applicable law and any terms provided at the time of purchase.

Memberships and access credentials may not be transferred or shared unless expressly authorized by Fairway Studios.

5. Booking & Facility Use

By booking or using a Fairway Studios simulator bay or other facility area, you agree to:

• Follow all posted safety rules and facility instructions.
• Use simulator equipment and other property responsibly.
• Use only authorized equipment and technology.
• Avoid behavior that could damage equipment or property.
• Avoid conduct that could endanger yourself or others.
• Follow applicable booking times and promptly vacate the bay when your reservation ends.
• Be responsible for the conduct of your guests.

You may be financially responsible for damage to Fairway Studios property or equipment resulting from intentional acts, negligence, misuse, or the actions of your guests.

Fairway Studios reserves the right to refuse service, restrict facility access, terminate a reservation, or remove any person engaging in unsafe, disruptive, abusive, illegal, or otherwise inappropriate behavior.

6. User Conduct

When using the Site, facility, or Services, you agree not to:

• Use the Site or Services for unlawful purposes.
• Harass, threaten, abuse, or harm other members, guests, employees, contractors, or visitors.
• Damage, misuse, or interfere with Fairway Studios equipment or property.
• Interfere with the operation, availability, or security of the Site or Services.
• Attempt unauthorized access to accounts, networks, systems, or restricted areas.
• Share access credentials with unauthorized individuals.
• Use automated tools to scrape, harvest, or improperly collect information from our Site or systems.
• Engage in conduct that materially interferes with another person’s use or enjoyment of the facility.

7. Payments & Billing

You agree to pay all applicable charges associated with your purchases and use of Fairway Studios Services.

You authorize Fairway Studios and its authorized payment processors to charge your selected payment method for applicable:

• Membership fees.
• Initiation or activation fees.
• Simulator bookings.
• Additional booking time.
• Event fees.
• Food, beverage, merchandise, or retail purchases.
• Late cancellation or no-show fees.
• Damage charges when applicable.
• Other purchases or charges authorized by you.

Recurring memberships automatically renew according to their applicable billing frequency unless canceled in accordance with the applicable membership terms.

You are responsible for maintaining a valid payment method and accurate billing information.

8. Cancellations & Refunds

Cancellation and refund policies may differ depending on whether the transaction involves a membership, simulator reservation, event, merchandise purchase, or another Service.

Applicable cancellation requirements will be communicated through the Site, booking platform, membership agreement, purchase process, or other applicable policy.

Late cancellations and no-shows may result in fees, loss of booking privileges, or other restrictions.

Initiation, activation, processing, or similar fees may be non-refundable where disclosed at the time of purchase.

Annual or prepaid memberships may be non-refundable except where otherwise expressly stated or required by law.

9. User-Submitted Content

If you voluntarily submit reviews, photographs, videos, testimonials, feedback, suggestions, or other content to Fairway Studios, you represent that you own or otherwise have the necessary rights to submit that content.

You grant Fairway Studios a non-exclusive, royalty-free license to use, reproduce, display, distribute, and publish submitted content in connection with our business, Site, Services, and marketing activities, subject to applicable law.

10. Intellectual Property

The Fairway Studios name, logos, branding, website design, graphics, photographs, videos, written content, software, and other proprietary materials are owned by Fairway Studios or used with permission and may be protected by copyright, trademark, and other intellectual property laws.

Unless expressly authorized in writing, you may not:

• Copy, reproduce, republish, or distribute proprietary Site content.
• Modify or create derivative works from proprietary Fairway Studios content.

Fairway Studios may use or provide access to third-party services, including booking platforms, payment processors, simulator technology, applications, social-media platforms, and other service providers.

Your use of third-party platforms may also be subject to the terms and privacy policies of those providers.

Fairway Studios does not control and is not responsible for the availability, content, policies, security, or practices of independently operated third-party websites or services.

12. Privacy & Data Collection

Fairway Studios may collect and process information necessary to provide and improve our Services, including:

• Contact and account information.
• Membership information.
• Reservation and booking history.
• Transaction and payment-related information.
• Facility and service usage information.
• Website usage and analytics data.
• Cookies and similar technologies.
• Communications and customer-service interactions.

Information may be shared with service providers when reasonably necessary to provide the Services, process transactions, manage memberships and reservations, communicate with customers, maintain security, or operate our business.

Marketing communications may be unsubscribed from using the applicable unsubscribe mechanism. Certain operational or transactional communications relating to an active account, membership, reservation, transaction, security matter, or other Service may still be sent when necessary.

Our collection and use of personal information may also be governed by our Privacy Policy.

13. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Site and Services are provided on an “as is” and “as available” basis.

Fairway Studios does not guarantee that:

• The Site or digital Services will always be uninterrupted or error-free.
• Simulator hardware, software, internet connectivity, or related technology will always be available.
• Third-party platforms or services will operate without interruption.
• Golf simulator measurements, analytics, statistics, or other technology-generated data will always be completely accurate.

Temporary interruptions resulting from maintenance, equipment failures, internet outages, software issues, third-party services, emergencies, or circumstances outside our reasonable control may occur.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Fairway Studios and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, or consequential damages arising from your use of the Site, facility, or Services.

Fairway Studios is not responsible for losses or damages resulting from:

• Misuse of equipment or facilities.
• Failure to follow safety instructions or facility rules.
• Conduct of other members or guests.
• Unauthorized account or credential sharing.
• Third-party products, platforms, or services.
• Interruptions outside Fairway Studios’ reasonable control.

To the fullest extent permitted by law, Fairway Studios’ aggregate liability arising from a particular Service will not exceed the amount you paid Fairway Studios for the specific Service giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Fairway Studios and its owners, officers, employees, contractors, agents, and partners from claims, liabilities, damages, losses, and reasonable expenses arising from:

• Your conduct while at Fairway Studios.
• The conduct of guests for whom you are responsible.
• Your infringement of another person’s rights.

16. Suspension & Termination

Fairway Studios may suspend, restrict, or terminate access to an account, membership, facility, or Service when reasonably necessary due to:

• Violation of these Terms.
• Violation of facility or membership rules.
• Nonpayment or failed payments.
• Fraudulent or unauthorized activity.
• Unsafe, abusive, threatening, or disruptive behavior.
• Misuse or sharing of access credentials.
• Damage to Fairway Studios property.
• Legal, security, or operational requirements.

Upon termination, your right to use the affected Services or membership privileges may immediately cease, subject to applicable law and any surviving contractual rights or obligations.

17. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles.

Any dispute arising from these Terms or the Services will be subject to applicable federal and Florida law.
